Terms of Service
In short. Baton is a tool for Shopify stores to deliver digital products after payment. You keep ownership of your files and stay responsible for what you sell. Baton is in early access: it is provided as is, without an availability guarantee yet, and it may change. Buyer data is processed on your behalf, as described in our Privacy Policy.
1. The agreement
These terms are a contract between the merchant that installs or uses Baton ("you") and the operator of Baton, an individual entrepreneur (sole trader, autónomo) established in Spain ("we", "us"). By installing Baton from the Shopify App Store or otherwise using it, you accept these terms on behalf of your store.
Baton is currently in development and offered as an early-access service. Features may be added, changed or removed while it moves towards its public launch on the Shopify App Store.
2. What Baton does
Baton delivers digital files, and where configured license keys, to the customers of your Shopify store once an order is paid. It creates a private download page per order, emails the buyer a link to it, applies the download limits and expiry you configure, revokes access when an order is refunded, and shows you the status of every delivery and email.
We work to maximise the chance that delivery emails reach the inbox, including full email authentication of our sending domain. Nobody can guarantee that a third-party mailbox provider will accept or display a given message, so Baton also shows the download link on the order status page and lets you resend or share it.
3. Your Shopify store
You need a Shopify store to use Baton, and Shopify's own terms continue to apply to it. Baton accesses your store's data only through the permissions you grant when you install it (currently products and orders) and uses them only to provide the service. You are responsible for keeping your Shopify account secure and for the people you allow to use it.
4. Your files and your responsibilities
You own the files, license keys and other content you upload to Baton ("your content"). You grant us a non-exclusive licence to store, copy and transmit your content only as needed to deliver it to your buyers and to operate the service.
You confirm that you have the rights needed to sell and distribute your content, that it complies with the law and with Shopify's policies, and that it is what you described to your buyers. You remain responsible for your relationship with your buyers: product descriptions, prices, taxes, refunds, support and your own legal notices. You decide the download limits and expiry that apply to your products.
5. Acceptable use
You must not use Baton to:
- deliver malware, illegal content or content that infringes someone else's rights;
- send buyers anything other than the delivery of what they bought, or use buyer data obtained through Baton for marketing;
- interfere with the service, probe its security, or access data that is not yours;
- upload content that you do not have the right to distribute.
Because every store on Baton shares the same sending infrastructure, we may pause delivery emails for a store whose bounce or complaint rate endangers deliverability for everyone else, and we may suspend or remove content or accounts that breach these terms. Where practical we tell you first and explain how to resolve it.
6. Fees
Baton is offered without charge during early access. Any fees we introduce later will be shown in the Shopify App Store listing and billed through Shopify before they apply to your store.
7. Data protection
Our Privacy Policy explains what data Baton processes and why. For the personal data of your buyers, you are the controller and we act as your processor. In that role we:
- process buyer data only to deliver orders and operate the service, on your documented instructions, which include these terms and the settings you choose in the app;
- keep buyer data confidential and apply the security measures described in the Privacy Policy;
- use the service providers listed in the Privacy Policy as sub-processors and tell you before adding a new one, so you can object;
- help you respond to buyers who exercise their data protection rights, including through the privacy requests Shopify forwards to us;
- tell you without undue delay if we become aware of a personal data breach affecting your buyers;
- delete or return buyer data when you uninstall Baton, as described in the Privacy Policy, unless the law requires us to keep it.
8. Availability and changes
During early access we do not commit to a specific uptime, and the service may be interrupted for maintenance or for reasons outside our control (including Shopify, our email or storage providers, or network failures). We may change or discontinue features and will give reasonable notice of material changes where practical. If we decide to discontinue Baton, we will give you time to retrieve your content before we delete it.
9. Intellectual property
Baton, its software, its name and its logo belong to us. These terms do not give you any right in them beyond using the service. If you send us feedback or suggestions, you allow us to use them without any obligation to you.
10. Disclaimer and limitation of liability
Baton is provided "as is" and "as available". To the extent permitted by law we exclude all warranties, including that the service will be uninterrupted or error-free or that every email will be delivered.
To the extent permitted by law, we are not liable for indirect or consequential losses, lost profits, lost sales or lost data arising from your use of Baton, and our total liability for all claims under these terms is limited to the fees you paid us in the twelve months before the claim or, if you paid none, to 100 EUR. Nothing in these terms limits liability that cannot be limited under applicable law, including liability for fraud or wilful misconduct.
11. Termination
You can stop using Baton at any time by uninstalling it from your Shopify store. We can suspend or end your access if you breach these terms, if we must do so to protect the service or other merchants, or if we discontinue Baton. When the agreement ends, deliveries stop and your data is deleted as described in the Privacy Policy. Sections 4 (licence for content already delivered), 9, 10 and 12 survive termination.
12. Governing law and disputes
These terms are governed by the laws of Spain. Any dispute that we cannot resolve together will be submitted to the courts of the city in Spain where the operator of Baton is established, unless mandatory law gives you the right to another forum.
13. Changes to these terms
We may update these terms as Baton evolves. The current version is always at batonsend.com/terms with its effective date. For material changes we notify merchants through the app or by email before they take effect; continuing to use Baton afterwards means you accept the updated terms.
